IntelAgility Terms of Service
Effective date: August 1, 2025
These Terms of Service (the “Terms”) govern your access to and use of IntelAgility’s website, https://intelagility.ca, and any related pages, communities, programs, trials, events, templates, resources, and services we operate (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1) Who we are
“IntelAgility,” “we,” “us,” and “our” refer to the IntelAgility operator. Where required for legal notices, the operator may be identified as: IntelAgility, Quebec, Canada.

2) Eligibility
You must be of the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements.
3) Changes to the Services and the Terms
We may modify the Services at any time, including adding or removing features, programs, or content.
We may update these Terms from time to time. The updated Terms will be posted on the Services and will apply from the effective date shown. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
4) Accounts, applications, and access
Certain parts of the Services may require you to apply, register, or be approved (for example, the IntelAgility Collective, Early Adopter Club, or tool trials).
You agree that any information you provide to us is accurate and kept up to date.
We may approve, deny, suspend, or revoke access to any program or community space at our discretion, including to protect the integrity of the Services, enforce these Terms, or address safety and compliance concerns.
5) Community rules and acceptable use
You agree not to use the Services in any way that:
- violates any applicable law or regulation
- infringes intellectual property, privacy, confidentiality, or other rights
- discloses Confidential Business Information (defined below) without proper authorization
- attempts to gain unauthorized access to systems, accounts, or data
- interferes with, disrupts, or degrades the Services
- uploads or transmits malware or malicious code
- harasses, threatens, or abuses others, or encourages harmful conduct
- misrepresents your identity, affiliation, role, or authority
We may remove content, restrict participation, or suspend access where we reasonably believe these Terms have been breached.
6) Confidentiality and employer protected information
6.1 Definitions
“Confidential Business Information” includes non public company or employer information, including internal processes, SDLC details, technical designs, roadmaps, architecture, security practices, operational procedures, customer or vendor information, and any information that could reasonably be understood as proprietary or sensitive.
6.2 Member responsibility
You are responsible for complying with your employment agreements, internal policies, confidentiality obligations, and applicable law. Do not share any Confidential Business Information unless you have the legal right and proper authorization to do so.
6.3 IntelAgility handling of Confidential Business Information
IntelAgility treats company specific SDLC and process information shared by members or founders, including information relating to the employers of members or founders, as Confidential Business Information.
IntelAgility will not publish, share publicly, or otherwise disclose company specific information, including SDLC processes, internal workflows, technical details, or employer identifiable information, without prior authorization from an authorized representative of the relevant organization or from the individual who has lawful authority to grant such authorization.
Where community learnings are used to improve IntelAgility resources, we will use reasonable measures to avoid identifying individuals or organizations and to avoid disclosing sensitive implementation details.
6.4 Reporting accidental disclosure
If you believe Confidential Business Information has been shared in error within our Services, notify us at hello@intelagility.ca. We will take reasonable steps to review and, where feasible, remove or restrict the content.
7) User content and license
“User Content” means content you submit or make available through the Services, including posts, messages, files, feedback, and application responses.
You retain ownership of your User Content. By submitting User Content, you grant IntelAgility a worldwide, non exclusive, royalty free license to host, store, reproduce, display, and use your User Content solely as necessary to operate, maintain, secure, and improve the Services, and to administer programs you participate in.
You represent and warrant that you have all rights necessary to submit the User Content and to grant the license above.
We are not obligated to monitor User Content, but we may review, remove, or restrict User Content at any time if we believe it violates these Terms, applicable law, or the rights of others.
8) IntelAgility materials and intellectual property
All content made available by IntelAgility through the Services, including frameworks, playbooks, templates, checklists, prompt packs, branding, logos, site content, and documentation (collectively, “IntelAgility Materials”), are owned by IntelAgility or its licensors and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, IntelAgility grants you a limited, revocable, non transferable license to access and use the IntelAgility Materials for your internal, personal, or business use. You may not reproduce, distribute, sell, sublicense, or create derivative works from IntelAgility Materials except where we expressly authorize it in writing.
9) Third party services and platforms
The Services may reference or rely on third party services (for example, Slack, form providers, analytics, payment processors, and third party AI tools). Your use of third party services is governed by those providers’ terms and policies. IntelAgility does not control and is not responsible for third party services.
10) AI tools, recommendations, and outputs
IntelAgility may provide educational content, workflows, and resources that reference or incorporate AI tools. AI generated outputs may be incomplete, inaccurate, or inappropriate for your context.
You are responsible for reviewing, validating, and deciding whether to use any AI output, recommendation, template, or workflow. IntelAgility does not guarantee results, performance improvements, compliance outcomes, or fitness for a particular purpose.
11) Beta features, tool trials, and Early Adopter programs
Some offerings may be experimental, limited availability, or provided as trials. These offerings may change, be discontinued, or contain errors.
Unless otherwise stated in writing, trials and early access offerings are provided as is, with no promise of ongoing availability, support level, or feature stability.
12) Fees and payments
If any part of the Services is offered for a fee, the applicable pricing, billing terms, and renewal or cancellation rules will be disclosed at the point of purchase or enrollment and will form part of these Terms.
Unless otherwise required by law, fees are non refundable once paid.
13) Termination and suspension
You may stop using the Services at any time.
We may suspend or terminate your access to the Services, remove content, or restrict participation, with or without notice, if we reasonably believe that you have violated these Terms, created risk for others, or misused the Services.
Sections that by their nature should survive termination will survive, including confidentiality, intellectual property, disclaimers, limitation of liability, and indemnity.
14) Disclaimers
To the fullest extent permitted by applicable law, the Services and IntelAgility Materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement.
We do not warrant that the Services will be uninterrupted, secure, error free, or free of harmful components, or that any content will be accurate or complete.
15) Limitation of liability
To the fullest extent permitted by applicable law, IntelAgility and its founders, contributors, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Services.
To the fullest extent permitted by applicable law, IntelAgility’s total liability for any claim arising out of or related to the Services will not exceed the amounts paid by you to IntelAgility for the Services in the twelve months preceding the event giving rise to the claim, or CAD $100 if you have not paid any amounts.
Some jurisdictions do not allow certain limitations. In that case, the limitation applies to the maximum extent permitted.
16) Indemnification
You agree to indemnify and hold harmless IntelAgility and its founders, contributors, contractors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your User Content, or your breach of these Terms, including any unauthorized disclosure of Confidential Business Information.
17) Governing law and venue
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to applicable consumer protection laws, you agree that any dispute arising from these Terms or the Services will be brought in the courts located in Montreal, Quebec, and you consent to their jurisdiction.
18) Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.
These Terms, together with any posted program specific terms and the Privacy Policy, constitute the entire agreement between you and IntelAgility regarding the Services.
